IMPORTANT LEGAL REVIEW NOTE: This document is a robust website-policy draft based on FEDA Global’s current public website and major applicable privacy/consumer-law frameworks. It is not a substitute for advice from FEDA’s retained legal counsel. Before publication, counsel should confirm FEDA’s exact registered legal entity name, governing constitution/by-laws, tax status, contracting entity for each chapter, payment processor arrangements, cross-border data flows, arbitration/jurisdiction clause, and any country-specific mandatory consumer rights. No clause should be used to waive rights that cannot lawfully be waived.

Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of fedaglobal.org, its subdomains, portals, forms, digital services, events, memberships, chapters, programs, publications, directories, business-facilitation services and other FEDA Global initiatives (collectively, the “Services”). By accessing the Services, submitting an application, registering for an event, making a payment, becoming a member, submitting a business requirement or otherwise interacting with FEDA Global, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the relevant Service.
Where a specific event, chapter, initiative, membership category, partner service or transaction has additional written terms, those specific terms apply together with these Terms. In case of conflict, mandatory law prevails, followed by the specific written terms and then these general Terms.

About FEDA Global

FEDA Global / Federation of Economic Development Association is presented on its website as a non-profit economic-development organization supporting policy engagement, entrepreneurship, trade, innovation, investment promotion, education, research, business networking and strategic collaboration. Website references to “FEDA”, “FEDA Global”, “we”, “us” or “our” mean the FEDA entity or authorized chapter/initiative responsible for the relevant Service, as identified in the applicable invoice, application, confirmation or communication.

⦁ Business-support access including compliance, accounting, legal, market-entry, company-formation and professional services through FEDA or independent/empanelled partners, where offered.

Eligibility and User Responsibilities

You must provide accurate, current and complete information and have legal capacity to enter the relevant transaction. If acting for a company or institution, you represent that you are authorized to bind or submit information for that organization. You are responsible for maintaining the confidentiality of any account credentials and for activity under your account.

You must not use FEDA’s Services for unlawful, fraudulent, misleading, defamatory, infringing, abusive, discriminatory, corrupt, sanctions-evading or otherwise prohibited activity; misrepresent FEDA affiliation or authority; scrape or harvest personal data without authorization; interfere with the website; upload malware; impersonate another person; or use FEDA’s name, logo, membership card, certificates or chapter identity outside the scope expressly authorized.

Membership Policy

Membership is a privilege of participation in FEDA’s ecosystem and does not create employment, agency, partnership, franchise, fiduciary, governmental or investment-advisory status. Membership is subject to application, verification, eligibility, payment, internal approval and continuing compliance with FEDA’s constitution, policies, code of conduct and chapter rules.

⦁ Membership benefits vary by category, geography, chapter, availability and program. Benefits described online are access opportunities, not guaranteed outcomes.
⦁ Membership does not guarantee contracts, sales, leads, buyers, suppliers, investors, funding, government access, visas, employment, internships, placements, awards, admissions, scholarships, media publication, business success or any particular financial return.
⦁ Third-party benefits, discounts, scholarships, professional services, travel, admissions and partner offers remain subject to the third party’s own eligibility, availability, pricing and terms.
⦁ Membership cards, certificates, directory listings and FEDA branding remain subject to verification and may be suspended, corrected or withdrawn if issued on inaccurate information or used improperly.
⦁ Members must not represent that FEDA endorses their products, services, qualifications, investment offering or commercial claims unless FEDA has given specific written authorization.
⦁ Membership may be upgraded where permitted and subject to the applicable fee difference and approval. Renewal is subject to the then-current fee, eligibility and benefits.

Chapter Governance and Core Committee Authority

Each FEDA Chapter operates within the authority delegated to it by FEDA Global and remains subject to FEDA’s central governance, constitution/by-laws, brand rules and written directions. The applicable FEDA Core Committee / competent central governing body has supervisory and higher authority over chapter-level operational decisions, appointments, use of FEDA intellectual property, membership administration, financial exceptions, partnerships, public representations and disputes, to the extent permitted by FEDA’s governing documents and applicable law.

No chapter officer, committee member, volunteer, employee, representative or partner may bind FEDA to a refund, waiver, compensation, settlement, partnership, sponsorship, exclusivity, appointment, financial commitment or legal obligation unless that person has documented authority to do so.
Where these website Terms refer to Core Committee approval, the web team should ensure the term matches FEDA’s legally adopted governance documents. Website wording cannot create authority inconsistent with FEDA’s constitution, applicable corporate/non-profit law or a binding board resolution.

Fees, Payments and Taxes

All fees are payable in the currency and manner shown at checkout, invoice or written confirmation. Applicable taxes, bank charges, payment-gateway charges, foreign-exchange charges, travel costs, statutory fees and third-party professional charges may be additional unless expressly stated otherwise. A payment is considered received only after successful settlement and verification.

FEDA may correct obvious pricing or clerical errors before performance of the relevant Service and will communicate any material correction. Users must not initiate fraudulent chargebacks or payment disputes for Services properly supplied; this does not limit lawful cardholder or consumer rights.

Non-Refund Policy and Limited Exceptions

Except where a refund is required by applicable law or expressly promised in writing for a specific Service, membership fees, application/processing fees, event registrations, sponsorship fees, exhibition/pavilion fees, nomination/assessment fees, administrative charges, digital-resource fees and other amounts paid to FEDA are non-refundable once the application has been processed, membership activated, benefit/access issued, reservation committed, event capacity allocated, work commenced or third-party costs incurred.
A request for an exceptional discretionary refund must be submitted in writing with supporting reasons and evidence. No chapter, employee or individual office-bearer may approve or promise a refund outside delegated authority. Any discretionary refund must receive prior written approval from the authorized FEDA Core Committee / competent governing authority. Approval is not automatic and may be subject to deductions for taxes, payment-gateway fees, non-recoverable third-party charges, benefits already used and reasonable administrative costs, where lawful.

If FEDA cancels a paid event or Service without providing a reasonable substitute, credit or rescheduled delivery, FEDA will apply the remedy required by the specific booking terms and applicable law. A “non-refundable” label does not remove statutory consumer rights, rights arising from misrepresentation, duplicate/unauthorized payment, or other remedies that cannot legally be excluded.

Events, Conferences, Delegations and Exhibitions

Event schedules, speakers, venues, agendas, participating organizations, travel arrangements and program components may change for operational, safety, regulatory, force-majeure or other reasonable reasons. Unless expressly sold as part of the package, travel, visas, accommodation, insurance, meals, local transport and personal expenses are the participant’s responsibility.

Admission may be refused or revoked for safety, misconduct, non-payment, misrepresentation, violation of venue rules or material breach of FEDA policies. Photography, audio or video may occur at events; appropriate notices and consent/legitimate-interest assessments should be used as required by applicable privacy law.

Business Facilitation, Sourcing, Investor and Professional Referrals

FEDA may facilitate introductions, sourcing, B2B meetings, investor connections, professional-service access, supplier identification, market-entry discussions and partner referrals. Unless expressly agreed otherwise in a signed contract, FEDA acts as a facilitator and does not guarantee the identity, solvency, licensing, performance, product quality, legal compliance, investment suitability or commercial outcome of any third party.

Users remain responsible for independent due diligence, contracts, inspections, legal/tax advice, sanctions/export-control checks, regulatory approvals, insurance and commercial decisions. Any inspection, verification, legal, accounting, logistics, travel or other specialist service performed by an independent provider is subject to that provider’s engagement terms.

No Investment, Legal, Tax or Professional Advice

Website materials, workshops, reports, introductions and general guidance are informational and educational. They are not individualized investment, securities, legal, tax, accounting, immigration, engineering, medical or other regulated professional advice. Users should obtain advice from appropriately licensed professionals for their circumstances.

Intellectual Property and Brand Use

FEDA names, logos, marks, publications, graphics, event materials, directories, website content and other protected materials are owned by or licensed to FEDA. No license is granted except the limited right to use the website for its intended purpose. Members may use approved membership identifiers only in accordance with written brand guidelines and must stop using them when membership expires, is suspended or is terminated.

User-submitted content remains the user’s responsibility. By submitting content for a directory, event, publication, award, member profile or promotional activity, the user grants FEDA a non-exclusive, worldwide, royalty-free license to host, reproduce, format and display that content for the purpose for which it was submitted, subject to privacy law and any written limitations.

Third-Party Links and Services

The Services may link to third-party websites, payment processors, social platforms, universities, venues, professional advisers, travel providers, suppliers and partners. FEDA does not control their privacy, security, content, availability or performance and is not responsible for third-party acts except to the extent liability cannot lawfully be excluded.

Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as available” basis. FEDA does not warrant uninterrupted access, error-free content, guaranteed business outcomes, continuous availability of a benefit, or the accuracy of third-party information. Nothing in these Terms excludes any warranty or guarantee that cannot lawfully be excluded.

Limitation of Liability — No Unlawful Waiver

To the maximum extent permitted by applicable law, FEDA will not be liable for indirect, incidental, special, exemplary or consequential loss, including loss of profit, opportunity, goodwill or anticipated business, arising from use of the Services or dealings with third parties. Any aggregate contractual liability may be limited in the applicable specific terms to the amount paid for the affected Service, where such limitation is legally enforceable.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury where caused by negligence and not legally excludable, statutory consumer rights, data-protection liability that cannot be waived, or any other liability that applicable law prohibits from being excluded or limited. No “no claim” or waiver language should be interpreted more broadly than the law permits.

Suspension and Termination

FEDA may suspend or terminate access, membership, chapter privileges or participation for material breach, fraud, non-payment, misuse of brand, harassment, unlawful activity, reputational misconduct connected to FEDA, or violation of applicable policies, subject to FEDA’s governing documents and any required process. Termination does not automatically create a refund entitlement.

Force Majeure

FEDA is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, epidemic/pandemic restrictions, war, civil unrest, government action, sanctions, venue closure, transport disruption, utility or telecommunications failure, cyber incident, labour disruption or similar events. FEDA may reschedule, relocate, substitute delivery mode or provide another reasonable remedy, subject to mandatory law.

Electronic Communications

You consent to receive transactional communications electronically, including applications, invoices, membership notices, event updates and policy notices. Marketing communications will be sent only on an appropriate lawful basis and with opt-out mechanisms where required. Electronic records and signatures may be used to the extent recognized by applicable law.

Governing Law and Dispute Resolution

Unless a specific written agreement states otherwise and subject to mandatory consumer/data-protection jurisdiction rules, these Terms should be governed by the laws of India, with courts at New Delhi having jurisdiction. FEDA may first require good-faith internal escalation to the authorized Core Committee/legal office before litigation. If FEDA intends to mandate arbitration, the final clause must be separately reviewed and adopted by Indian counsel and aligned with FEDA’s governing documents and the Arbitration and Conciliation Act, 1996, as amended.

For international users, nothing in this clause removes mandatory rights or forums granted by the law of the user’s jurisdiction where those rights cannot be contractually displaced.

Changes to Terms

FEDA may update these Terms for legal, regulatory, operational or service changes. The current version and effective date will be posted online. Material changes affecting existing paid rights should be communicated reasonably and will not retroactively remove accrued mandatory rights.
